Tiered Technology Partner Program Terms and Conditions

These Tiered Program Terms and Conditions apply to your participation in the Technology Partner Program. By accepting endorsement into the Program, you agree to be bound by these terms. These terms take effect from the date of your endorsement notification email. Your acceptance by electronic means (including by email or continued participation in the Program) creates a binding agreement. Any terms or conditions proposed by you that conflict with these terms are rejected and do not apply. If you are accepting on behalf of a company, you confirm that you have authority to bind that company to these terms. 

 

1 About these Terms 

1.1 These terms supplement the Technology Partner Agreement Terms and Conditions (the “Technology Partner Terms”). Together they form your complete agreement with us regarding the Technology Partner Program. 

1.2 If there is any conflict between these terms and the Technology Partner Terms, these terms prevail. 

1.3 We may update these terms from time to time. We will notify you of material changes via the Partner Portal or by email. Your continued participation after notification constitutes acceptance. 

 

2 The Program 

2.1 The Technology Partner Program operates across three tiers. The Program is based on criteria published on the Partner Portal and there is no fee to join. 

2.2 We reserve the right to accept or reject any application to the Program at our sole discretion. 

2.3 Your tier placement is determined by us based on the criteria set out in clause 3. 

 

3 Tier Criteria 

3.1 Each tier reflects the depth and maturity of your partnership with us. The criteria for each tier are published on the Partner Portal and are assessed on an annual basis. 

3.2 We may update the criteria from time to time by giving you 60 days’ notice. 

3.3 Elite Technology Partner is an invitation-only tier. Meeting the criteria does not guarantee placement. 

 

4 Tier Benefits 

4.1 The benefits available at each tier are published on the Partner Portal. Benefits may change from time to time and are subject to your continued compliance with these terms and the Technology Partner Terms. 

4.2 We do not guarantee the availability of any particular benefit. Benefits are provided at our discretion and may be modified or withdrawn at any time. 

 

5 Tier Changes 

5.1 If you meet the criteria for a higher tier for a sustained period, we may, at Gallagher’s sole discretion, invite you to move up. 

5.2 If you no longer meet the criteria for your current tier, we will typically: 

5.2.1 notify you of the gap; 

5.2.2 agree a remediation plan with you; 

5.2.3 give you 60 days to address it; 

5.2.4 reassess your position; and 

5.2.5 confirm the outcome in writing. 

5.3 We are not obligated to follow the process in clause 5.2 in every case. We reserve the right to move you between tiers or remove you from the Program at our sole discretion, acting reasonably. 

5.4 If you disagree with a tier decision, you may request a review within 20 working days. 

 

6 Your Obligations 

6.1 As a participant in the Program, you must: 

6.1.1 keep your integration compatible with the current and immediately preceding version of Command Centre, test against new releases within 6 months, and ensure your integration does not fall more than 2 versions behind; 

6.1.2 provide first-line support for issues relating to your integration; 

6.1.3 acknowledge our escalation requests within 1 business day; 

6.1.4 maintain accurate, up-to-date documentation for your integration; 

6.1.5 attend scheduled meetings at the cadence required for your tier; 

6.1.6 complete the minimum marketing activities for your tier each year; 

6.1.7 provide us with current organisational charts and support contacts; and 

6.1.8 comply with all applicable laws. 

 

7 Verification 

7.1 Your integration must complete our validation process before it can be listed as a Gallagher Validated Solution. 

7.2 We may require re-verification following material updates to your integration or to Command Centre. 

7.3 We reserve the right to revoke Validation on reasonable grounds with written notice to you. 

 

8 AI and Responsible Technology 

8.1 If your integration uses AI, you must notify us and provide details of the AI components. 

8.2 You must ensure any AI complies with applicable AI legislation (including the EU AI Act where relevant). 

8.3 You must not use AI for mass surveillance, social scoring, or manipulation of individuals. 

8.4 You must ensure meaningful human oversight of any AI that makes decisions affecting individuals. 

8.5 You are solely responsible for the ethical development and deployment of AI within your integration. 

 

9 Facial Recognition 

9.1 If your integration includes facial recognition technology, the additional obligations set out in the Technology Partner Terms apply. 

 

10 Intellectual Property 

10.1 Each party retains ownership of its pre-existing intellectual property. Nothing in these terms transfers ownership of either party’s IP to the other. 

10.2 Any licence we grant you to our IP (including APIs, SDKs, and documentation) is non-exclusive and limited to the scope necessary for your tier. The licence scope may vary by tier and is set out in the Technology Partner Terms. 

10.3 Any licence you grant us to your IP is limited to what we need to promote your integration as part of the Program. 

 

11 Trademarks 

11.1 If your integration achieves Validated status, we may permit you to use the “Gallagher Validated” branding in accordance with our brand guidelines. 

11.2 You must not use any Gallagher trademarks, logos, or branding without our prior written approval. We may revoke approval at any time on reasonable notice. 

 

12 Confidentiality 

12.1 The confidentiality provisions set out in the Technology Partner Terms apply to your participation in the Program. 

12.2 If you are a Strategic or Elite Technology Partner and receive roadmap information or forward-looking product plans, you acknowledge that this information is Confidential Information subject to enhanced protections. You must not disclose roadmap information to any third party without our prior written consent. 

 

13 Data Protection 

13.1 The data protection provisions set out in the Technology Partner Terms apply to your participation in the Program. Where we share personal data with you as part of the Program (including performance metrics or customer deployment data), the same obligations apply. 

 

14 Liability 

14.1 The indemnification and limitation of liability provisions set out in the Technology Partner Terms apply to your participation in the Program. 

14.2 For claims arising specifically under these Tiered Program Terms (as distinct from the Technology Partner Terms), our total aggregate liability will not exceed NZD $100,000.

14.3 In addition to your indemnity obligations under the Technology Partner Terms, you agree to indemnify us for losses arising from: 

14.3.1 your breach of these terms; 

14.3.2 your use of tier benefits; 

14.3.3 any misrepresentation regarding your tier status; and 

14.3.4 any claim by a third party in connection with your integration. 

14.4 The warranty exclusions and consequential loss exclusions in clauses of the Technology Partner Terms also apply to the Program. 

 

15 Force Majeure 

15.1 Neither party is liable for failure to perform its obligations where that failure is caused by events beyond its reasonable control. If a force majeure event continues for more than 90 days, either party may terminate these terms by written notice to the other.

 

16 Termination

16.1 Either party may terminate these terms on 30 days’ written notice.

16.2 We may terminate immediately if you materially breach these terms or the Technology Partner Terms, become insolvent, or undergo a change of control without our consent.

16.3 On termination, your tier benefits cease immediately. The Technology Partner Terms continue to apply to your use of the SDK unless separately terminated.

 

17 Change of Control

17.1 You must notify us within 10 business days of any change of control of your organisation.

17.2 We may terminate your participation in the Program within 30 days of receiving that notice.

 

18 Notices

18.1 All notices under these terms must be in writing. Notices to you will be sent to the email address on your Partner Portal profile. Notices to us must be sent to tech.partner.program@security.gallagher.com.

18.2 Notices are deemed received on the next business day after sending.

 

19 General

19.1 These terms are governed by New Zealand law.

19.2 You may not assign your rights under these terms without our prior written consent.

19.3 You must comply with all applicable laws, including sanctions, export controls, and anti-bribery laws.

19.4 Nothing in these terms creates an agency, partnership, or joint venture between us.

19.5 If any provision is unenforceable, the remainder of these terms continues in full force.

19.6 These terms, together with the Technology Partner Terms, constitute the entire agreement between us regarding the Program.

19.7 To the extent not expressly addressed in these terms, the provisions of the Technology Partner Terms apply to your participation in the Program. 

 

20 Definitions

20.1 In these terms, unless the context requires otherwise:

'Command Centre' means Gallagher’s security management software platform;

'Elite Technology Partner' means a partner placed in the highest tier of the Program by invitation;

'Partner Portal' means the online portal or playbook provided by us for managing your participation in the Program;

'Program' means the Gallagher Technology Partner Program described in these terms;

'Strategic Technology Partner' means a partner placed in the second tier of the Program;

'Technology Partner' means a partner placed in the entry tier of the Program;

'Technology Partner Terms' means the Technology Partner Agreement Terms and Conditions that form part of your agreement with us;

'Tier' means the level within the Program at which you are placed;

'Tier Criteria' means the criteria published on the Partner Portal used to determine your tier placement; and

'Validated / Validation' means the process by which we assess and confirm that your integration meets our technical and quality standards.
